1. Acceptance of Terms

By accessing our website or engaging our financial audit services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

These terms constitute a legal agreement between you and Professional Financial Audits, operating in Canada.

2. Service Description

Professional Financial Audits provides the following services:

  • Standard Audit: Basic financial statement review and compliance verification
  • Advanced Audit: Comprehensive financial analysis with risk assessment
  • Full Compliance Audit: Complete audit with ongoing support and consultation

Our audit services are for financial assessment purposes only and do not constitute legal advice, investment advice, or tax preparation services. We recommend consulting with appropriate professionals for legal and investment matters.

3. Professional Standards

All audit services are conducted in accordance with:

  • Canadian Generally Accepted Auditing Standards (GAAS)
  • Professional accounting and auditing standards
  • Applicable federal and provincial regulations
  • Industry best practices and ethical guidelines

4. Client Responsibilities

As our client, you agree to:

  • Provide accurate and complete financial information
  • Grant reasonable access to records and personnel
  • Respond promptly to requests for additional information
  • Maintain confidentiality of audit procedures and findings
  • Pay all fees according to the agreed schedule

5. Payment Terms

Service Fees

  • Standard Audit: $2,499 CAD
  • Advanced Audit: $4,999 CAD
  • Full Compliance: $8,999 CAD

Payment Conditions

  • 50% deposit required upon engagement
  • Balance due upon completion of audit
  • Payment terms: Net 30 days from invoice date
  • Late payment fees: 2% per month on overdue amounts

6. Confidentiality

We maintain strict confidentiality of all client information in accordance with professional auditing standards. This includes:

  • Financial records and business information
  • Audit findings and recommendations
  • Internal business processes and procedures
  • Any other confidential information obtained during the audit

Professional Privilege

Information shared during the audit process is protected by professional auditor-client privilege, subject to legal and regulatory disclosure requirements.

7. Limitations of Liability

Our liability is limited as follows:

  • Total liability shall not exceed the fees paid for services
  • We are not liable for indirect, consequential, or punitive damages
  • Audit reports are intended solely for the contracting client
  • Third-party reliance on audit reports requires separate engagement

8. Intellectual Property

All audit methodologies, templates, and proprietary processes remain our intellectual property. Clients receive rights to:

  • Use audit reports for their intended business purposes
  • Share findings with authorized stakeholders
  • Implement recommendations within their organization

Clients may not redistribute our methodologies or processes to third parties.

9. Termination

Either party may terminate the engagement with written notice:

  • Client may terminate for any reason with 7 days notice
  • We may terminate for non-payment or breach of terms
  • Upon termination, client is responsible for work completed
  • All confidentiality obligations survive termination

10. Force Majeure

We are not liable for delays or failures due to circumstances beyond our control, including:

  • Natural disasters or extreme weather events
  • Government actions or regulatory changes
  • Technology failures or cyber incidents
  • Public health emergencies or pandemics

11. Dispute Resolution

Any disputes shall be resolved through:

  • First, good faith negotiation between parties
  • If necessary, mediation under Ontario mediation rules
  • Final resolution through binding arbitration
  • Proceedings governed by Ontario law

12. Governing Law

These terms are governed by the laws of Ontario, Canada, and federal Canadian law where applicable. Any legal proceedings must be brought in Ontario courts.

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on our website and take effect immediately for new engagements. Existing engagements remain under the original terms unless mutually agreed otherwise.
